SOUNDLE TERMS AND CONDITIONS

As we can accept your order and a legally enforceable agreement without further reference to you, please read these terms and conditions to make sure that the contents are agreeable. 

 

Application 

 

1. These terms and conditions will apply to the purchase of goods by you (the Customer or You). We are SOUNDLE LTD registered under the company number 14054401 (the Supplier or us or we).

2. These are the terms and conditions on which we sell all Goods to you. By ordering any of the goods or services, you agree to be bound by these terms and conditions. 

 

Goods

 

1. The description of the Goods is as set out in the Website or other form of advertisement. Any description is for illustrative purposes only. 

2. All Goods which appear on the Website are subject to availability. 

 

Your Use of Goods and Soundle Property

1. Unless otherwise expressly authorized in writing by SOUNDLE LTD in writing, we authorize you, subject to this agreement, to use Goods at our discretion solely for your own personal or internal business purposes. Any other use is expressly prohibited. 

1. Your Use of Goods - Goods are licensed, not sold to you. 

 

1. New Recordings - Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, perpetual license to use Goods you obtain/purchase through soundle in combination with other sounds in music productions to create new recordings. This means you may modify, reproduce, publicly perform, distribute, transmit, communicate to the public, sublicense and otherwise use Goods as embodied in a New Recording, including for commercial purposes, except as prohibited herein below. You (and/or any applicable third-party contributors or artists engaged by you in connection with the New Recording) will own any original contributions made to the New Recording that are not composed of Goods(e.g., added vocals or added instrumentation). For the avoidance of doubt, you will not own the Goods.

 

1. Creative Works - Further subject to your compliance with the Agreement, we grant you a non-exclusive, non-transferable, perpetual right to use Goods you obtain through Soundle for non-commercial and commercial use in creative works other than New Recordings, such as but not limited to, video games, film or television projects, radio, live performances, and so-called vlogs, used either in isolation as sound effects, loops, and/or sound mixes (collectively, "Creative Works").

 

Prohibited Uses

1. Notwithstanding anything to the contrary and with respect to both New Recordings and Creative Works, you may not (a) sublicense the Goods in isolation as sound effects, loops, or as source material for any other form of sample (even if you modify the Sounds), (b) use or sublicense Sounds in a manner competitive to Soundle or its licensors, (c) sublicense, sell, loan, share, lend, broadcast, rent, lease, assign, distribute, or transfer all of the Goods to a third party except as incorporated into a New Recording or Creative Work; (d) redistribute Goods in new sample packs or (e) use any Goods or portions of Goods identified as made available for "preview" other than to internally and locally (on the Service) preview the applicable Goods (and for the avoidance of doubt, "preview" Goods may not be modified, reproduced, publicly performed, distributed, transmitted, communicated to the public, sublicensed, or otherwise used and may not be used for commercial purposes). Additionally, for clarity, you may not use the name, image, or likeness of the artist associated with a Goods in any way without that artist's express written permission. Prohibited uses include, but are not limited to, including the photo of an artist associated with a Goods when promoting your New Recording or Creative Work and/or crediting the artist as a featured artist on or other contributor to your New Recording.

1. When purchasing Goods from our Website that contain musical content it is imperative to understand that the Goods are licensed, not sold to you.

 

Personal Information

 

1. We retain and use all information strictly under the Privacy Policy 

2. We may contact you by using email or other electronic communication methods and you expressly agree to this. 

 

Basis of Sale

 

1. The description of the Goods in our website does not constitute a contractual offer to sell the Goods. When an Order has been submitted on the Website, we can reject it for any reason, although we will try to tell you the reason why without delay. 

2. The Order process is set out on the website. Each step allows you to check and amend any errors before submitting the Order. It is your responsibility to check that you have used the ordering process correctly. 

3. A Contract will be formed for the sale of Goods ordered only when you receive an email from us confirming the Order. You must ensure that the Order Confirmation is complete and accurate and inform us immediately of any errors. We are not held responsible for any inaccuracies in the Order placed by you. By placing an Order you agree to us giving you confirmation of the contract by means of an email with all information on it (ie the Order Confirmation). You will receive the Order Confirmation within a reasonable time after making an Order through our Website. 

4. No variation of the Contract, whether about description of Goods, Fees or otherwise, can be made after it has been entered into unless the variation is agreed by the Customer and the Supplier in writing. 

5. We intend that these Terms and Conditions apply only to a Contract entered into by you as a Consumer. If this is not the case, you must tell us, so that we can provide you with a different contract with terms which are more appropriate for you and which might, in some respects, be better for you, e.g. by giving you rights as a business. 

 

Price and Payment

 

1. The price of the Goods and any additional delivery or other charges is set out in the Website at the date of the Order or such other price as we may agree in writing. 

2. Prices and charges include VAT at the rate applicable at the time of the Order.

3. You must pay by submitting your credit or debit card details, PayPal, Apple Pay, Google Pay or any other form of payment we provide in the future, with  your Order and we can take payment immediately. 

4. When placing an order on the Website, If you choose to pay through means of E-Cheque, it can take up to 5 working days for SOUNDLE LTD to receive payment, and we hold the right to withhold delivery of goods until payment is received, even if an order confirmation was created. 

 

Delivery

1. We will deliver the Goods to the email address that you provided with your order. 

 

Risk and Title 

 

1. Risk of damage to, or loss of, any Goods will pass to you when the Goods are delivered to you. 

2. You do not own an active license to the Goods until we have received payment in full. 

 

Returns

1. As our Goods are a digital purchase we cannot offer a returns policy, please ensure you have read these Terms and Conditions and our contents of Goods carefully to ensure what you are purchasing is correct.
